Welcome to Shopo. These Terms of Service (the "Terms") govern your access to and use of the Shopo website builder and platform at shopo.site and any hosted store on a *.shopo.site subdomain or connected custom domain (together, the "Service"), operated by Kazi Raihan Ur Rahman (the "Operator", "we", "us", or "our").
These Terms apply whether you are a merchant (a store owner or team member who manages a store and subscribes to a plan) or a storefront customer (a shopper who places orders on a merchant's store). By creating an account or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of the Service
Shopo is a multi-tenant, software-as-a-service (SaaS) e-commerce website builder. It lets merchants create an online store, add products and categories, configure themes and pages, and sell to customers on a hosted subdomain (<storename>.shopo.site) or a connected custom domain. Merchants manage their store through a dashboard and subscribe to a paid plan to unlock additional features.
2. Your account
- You must be at least 16 years old to create an account. By registering, you represent that you meet this requirement.
- You agree to provide accurate, current, and complete information and to keep it up to date.
- Authentication is provided by Clerk. You are responsible for safeguarding your account and for all activity under your account, and you agree to notify us promptly of any unauthorized use.
- One person may hold different roles (store owner, invited editor, or storefront customer) across different stores.
3. Plans, pricing, and billing
We offer a Free plan and a paid Pro plan. Plan details are:
- Free plan. Free of charge. Each new store also begins with a 3-day Pro trial. When the trial ends and there is no active Pro subscription, the store is limited to 10 products and a reduced set of themes, and the storefront becomes unavailable to visitors until the plan is upgraded.
- Pro plan. $15 USD per month, which unlocks unlimited products, all themes, custom domains, analytics, and additional features. The current price is always displayed on our pricing page.
3.1 How the Pro plan is billed
The Pro subscription is sold and billed through Creem, which acts as the Merchant of Record for that subscription transaction. This means Creem is the legal seller for billing purposes and is responsible for collecting and remitting applicable VAT, GST, and sales taxes on the subscription, and for handling chargebacks related to it. By subscribing, you also agree to Creem's terms.
3.2 Renewal, cancellation, and refunds
- Auto-renewal. The Pro plan renews automatically each month until you cancel.
- Cancellation. You can cancel your subscription at any time, directly from your dashboard Billings page (
/dashboard/billings), or via the Creem Customer Portal. Cancellation takes effect at the end of the current billing period, and you keep access to Pro features until then. - No refunds. All subscription payments are non-refundable. We do not provide credits or refunds for partially used billing periods. If you cancel, you will not be charged again after the current period ends.
- Trial expiry. If you do not start a paid subscription before the 3-day trial ends, your store will automatically move to the Free plan and your storefront may be blocked, as described above.
We may change our fees or introduce new plans. Any fee change takes effect at the start of your next billing cycle following reasonable notice.
4. Storefront payments via Stripe Connect
When a customer buys from a merchant's storefront, the payment is processed by Stripe and paid directly to that merchant's own connected Stripe account. The funds do not pass through Shopo, and Shopo is not the seller of, or a party to, any storefront sale.
Accordingly, each merchant is solely responsible for their own storefront sales, including:
- fulfilling orders and handling customer support, returns, and refunds;
- collecting, reporting, and remitting any applicable sales, VAT, or other taxes;
- complying with consumer-protection and other laws applicable to the products they sell and the customers they serve; and
- resolving and bearing the cost of any chargebacks or disputes on their orders.
Creem is not involved in storefront order payments — it only handles the merchant's Shopo Pro subscription described in Section 3.
5. Acceptable Use Policy
You agree not to use the Service, or any store you operate on it, to offer, host, sell, or facilitate any of the following. This list reflects our own policies and the policies of our payment providers (Creem and Stripe), and violating it may result in immediate suspension:
- Anything illegal, fraudulent, deceptive, or infringing — including counterfeit goods and products or content for which you do not hold the required license or intellectual-property rights.
- Sexually explicit or pornographic content of any kind, including AI-generated content, face-swap or deepfake tools, and NSFW chatbots.
- Drugs, alcohol, tobacco, vaping products, weapons, explosives, or other age-restricted or regulated goods.
- Gambling, lending, debt-relief, banking or financing services, multi-level marketing, pyramid, or similar schemes.
- NFT or crypto-asset products, IPTV services, or in-game items and virtual goods tied to third-party games.
- Spyware, parental-control apps, malware, phishing, or tools designed to bypass security or platform terms.
- Content that infringes the rights of others, including privacy and IP rights.
- Fake reviews, testimonials, or inflated user or customer counts, or any other misleading information.
- Attempting to reverse-engineer, scrape, overload, hack, or otherwise disrupt or misuse the Service, its APIs, or its infrastructure.
If you are unsure whether a product or use is allowed, contact us before listing it.
6. Merchant responsibilities
- You are responsible for everything in your store and for ensuring you have the rights to upload, display, and sell it.
- Product listings, prices, descriptions, and images must be accurate and lawful.
- You must fulfill orders you accept, honor any return or refund policy you publish to your customers, and comply with applicable consumer-protection law.
- You are responsible for maintaining the security of your own store account and for the actions of any editors or team members you invite.
7. Intellectual property
The Service — including the Shopo name, logo, software, design, themes, and underlying technology — is owned by us and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
You retain ownership of the content you upload to your store (products, images, text, pages, and blog posts). By uploading it, you grant us a worldwide, royalty-free license to host, store, display, and transmit that content solely as needed to operate your store and the Service.
8. Store content, pages, and blog
You are responsible for any pages, blog posts, or content you publish on your store and for ensuring it complies with these Terms and applicable law. We may remove or disable access to content that violates these Terms or that we are legally required to remove, and we may suspend stores that repeatedly violate them.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind — express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free, secure, or available at all times.
10. Limitation of liability
To the maximum extent permitted by law, in no event will the Operator be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, revenue, or goodwill, arising out of or related to your use of, or inability to use, the Service — whether based on warranty, contract, tort (including negligence), statute, or otherwise — even if we have been advised of the possibility of such damages.
To the extent permitted by law, the Operator's total aggregate liability for any claim arising out of or related to the Service will not exceed the total amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any law or the rights of a third party; and the products, content, or orders in your store, including any customer disputes, returns, refunds, chargebacks, or tax obligations related to your storefront sales.
12. Termination
You may stop using the Service, delete your store, or close your account at any time. We may suspend or terminate your account or any store immediately, without prior notice, if you breach these Terms (including the Acceptable Use Policy), if your activity creates legal, security, or reputational risk, if payment fails or a charge is disputed, or where required to comply with law or our payment providers' policies.
On termination, your right to use the Service ends. When a store is deleted, its products, categories, orders, pages, and related data are removed from our database, except that we may retain limited billing and tax records as required by law.
13. Third-party services
The Service integrates with third-party services — including Clerk (authentication), Creem (subscription billing), Stripe (storefront payments), AWS (storage), Vercel (hosting and analytics), and optional services such as AliExpress that you may choose to connect. Each operates under its own terms and privacy policy, and you are responsible for reviewing and complying with them. We are not responsible for the acts or omissions of these third parties.
14. Changes to these Terms
We may modify these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, provide notice through the Service or by email. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Service.
15. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict-of-law provisions. We will make a good-faith effort to resolve any dispute informally. Any dispute that cannot be resolved shall be subject to the exclusive jurisdiction of the competent courts of Bangladesh.
16. Miscellaneous
- If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
- Our failure to enforce any right or provision is not a waiver of that right or provision.
- These Terms constitute the entire agreement between you and the Operator regarding the Service and supersede any prior agreements.
